These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Medecro Technologies Pvt. Ltd. ("Medecro.AI," "we," "us," or "our"). These Terms govern your access to and use of Medecro.AI's website (https://www.medecro.ai) and mobile application (collectively, the "Platform"). By accessing or using the Platform in any manner, including merely browsing the Platform, you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree with any provision of these Terms, you must immediately cease all use of the Platform.
1. "Platform."
Refers collectively to Medecro.AI's website (https://www.medecro.ai) and the Medecro.AI mobile application (available for iOS and Android). It includes all associated functionality, features, content, user interfaces, software, tools, and services offered by Medecro.AI.
2. "User."
Means any natural person or legal entity that accesses or uses the Platform, whether as a registered account holder or as an unregistered visitor.
3. "Account."
Refers to the personalized user profile created when a User registers on the Platform. An Account grants access to certain restricted features, such as appointment booking, teleconsultation scheduling, document upload, and other interactive tools.
4. "Content."
Includes all text, data, images, audiovisual material, or any other information that is created, uploaded, submitted, or shared by either Medecro.AI or Users on or through the Platform. "User Content" is that portion of Content provided by a User and excludes content provided solely by Medecro.AI.
5. "Subscription."
Refers to the purchase of access to specified Platform features on a recurring basis (currently, annually), governed by our Payment and Subscription terms.
6. "Refund."
Means the return of all or part of an amount paid by a User to Medecro.AI under certain circumstances set forth in our Refund Policy.

Medecro.AI is a Software-as-a-Service (SaaS) platform that offers AI-powered tools designed to streamline dental clinic management. Key functionalities include a dental radiograph analyzer (leveraging computer vision and machine learning), modules to facilitate teleconsultation between patients and licensed dental healthcare professionals, lead-generation and product-promotion features, appointment booking, and dissemination of educational or informational content to stakeholders.
Current Target Markets:
Primarily serving Users within India; Medecro.AI anticipates expanding to United States (USA) and European Union (EU) jurisdictions in the future. As of the effective date of these Terms, we do not specifically tailor the Platform to USA/EU compliance requirements (e.g., HIPAA, GDPR), but we may do so before officially launching services in those regions.
Platform Utility and Usage:
1. Lead Generation / Product Promotion: Dental clinics or product manufacturers may leverage the Platform to attract potential clients and showcase offerings.
2. Information Dissemination: Stakeholders (clinics, practitioners, or manufacturers) can upload educational materials, promotional content, or relevant news to keep Users informed.
3. Appointment Booking & Teleconsultation: Enables Patients to schedule virtual consultations with licensed dental professionals. The Platform is not a substitute for in-person clinical evaluations; rather, it serves as a tool to facilitate remote discussion and preliminary assessment.
4. Business Use Only: The Platform is intended solely for business-related activities. End Users accessing diagnostic modules must be licensed healthcare practitioners. Patients, by connecting with providers via our teleconsultation feature, are utilizing the Platform for medical guidance; however, all clinical decisions rest with the licensed professional on the other end.
1. Agreement to Terms. By clicking "I Agree," "Submit," or by otherwise installing, accessing, or using the Platform (including any updates or enhancements), you acknowledge that you have read, understood, and agree to be bound by these Terms and all documents expressly incorporated by reference, including our Privacy Policy and any additional rules posted on the Platform that govern specific features (collectively, "Platform Policies").
2. Age & Capacity. You represent and warrant that:
You are at least eighteen (18) years of age and legally capable of entering into binding contracts.
You have not previously been suspended or removed from the Platform. If you are under the age of 18, you are not permitted to register for an Account or use any of the Platform's features that require an Account.
3. No Third-Party Beneficiaries. Except as expressly provided herein, these Terms do not and are not intended to confer any rights or remedies, whether statutory or otherwise, upon any person or entity other than the parties to these Terms and their respective permitted successors and assigns.
4.1 Account Registration
1. Registration Methods. To access certain features (e.g., appointment booking, teleconsultations, document uploads), you must create an Account on the Platform. Account creation requires you to provide:
Full legal name
A valid mobile number and/or email address (for verification and communication)
Your age (to confirm eligibility; must be at least 18)
Any additional information that Medecro.AI may reasonably request (e.g., address, professional credentials if you are a healthcare provider, clinic affiliation, etc.)
2. Verification Process. We will verify your mobile number or email address via a one- time password (OTP), email confirmation link, or other authentication mechanism. Until verification is complete, your access to certain features may be limited or suspended.
3. Accuracy of Information. You agree to provide accurate, current, and complete information during the registration process and to promptly update such information to keep it accurate and complete. Inaccurate or incomplete information, or any attempt to register with false credentials, may result in immediate termination of your Account.
4. Account Credentials. You are responsible for selecting a secure password and for ensuring that your Account login credentials are not shared with unauthorized individuals. You agree to notify us immediately of any unauthorized use of your Account or any other security breach. Medecro.AI is not liable for any loss or damage arising from your failure to protect your login credentials.
4.2 User Types & Permissions
1. Patients.
May register to schedule teleconsultations with licensed dental professionals.
May upload medical history, radiographs, or other relevant diagnostic materials for review.
May provide feedback or ratings following a consultation.
2. Dental Professionals / Clinics.
Must upload valid professional credentials (e.g., dental license number, affiliated clinic details) for verification.
May use AI-powered radiograph analysis to assist in preliminary assessments but must independently verify results.
May communicate with Patients via text, audio, or video consultation modules.
3. Administrators & Staff.
May be assigned specific roles by Medecro.AI for internal management, system maintenance, data analytics, customer support, or compliance functions.
Medecro.AI reserves the right to modify, suspend, or terminate the account type and permissions of any User at its discretion, particularly if the User violates these Terms or misuses the Platform.
5.1 Ownership, License, & Usage of User Content
1. User Content Definition. "User Content" is any content that you upload, post, submit, or otherwise make available through the Platform, including but not limited to:
Radiographic images, clinical photographs, or other diagnostic images submitted for analysis.
Textual information such as medical history, treatment notes, feedback, and reviews.
Profile information (e.g., biography, qualifications, license numbers for professional accounts).
2. Ownership. You retain all rights, titles, and interests (including all intellectual property rights) in and to your User Content. By uploading User Content to the Platform, you represent and warrant that you either own such User Content or have obtained all rights, licenses, and permissions necessary to grant the license below.
3. License to Medecro.AI. By submitting or posting User Content, you grant Medecro.AI and its affiliates a worldwide, royalty-free, non-exclusive, sublicensable, transferable license to:
Use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and publicly disclose such User Content in connection with operating the Platform and providing related services.
Incorporate aggregate, anonymized, or de-identified User Content into Medecro.AI's proprietary models, analytics, or other offerings (for example, improving AI training without revealing personal data).
Grant sublicenses of the foregoing rights to our service providers or partners as necessary to operate or maintain the Platform.
This license is perpetual, irrevocable, and may only be terminated in accordance with Section 16 (Termination).
4. Responsibility & Warranty. You represent and warrant that:
You are the sole author and owner of all User Content you upload, or you have obtained all necessary rights, licenses, consents, and permissions from the rightful owner to grant Medecro.AI the rights and licenses described herein.
Your User Content:
Does not infringe, violate, or misappropriate any third-party intellectual property rights (including copyrights, trademarks, trade secrets, or patents);
Does not violate any applicable laws, regulations, or personal rights (including privacy, publicity, or confidentiality obligations);
Does not contain any material that is false, deceptive, defamatory, libelous, obscene, pornographic, abusive, harassing, hateful, racially or ethnically offensive, or otherwise objectionable;
Does not contain any viruses, spyware, malware, or other harmful code.
5. Moderation & Removal. We reserve the right (but have no obligation) to monitor, review, or remove User Content that we, in our sole discretion, determine to be in violation of these Terms or otherwise objectionable. We may remove or disable access to any User Content that we believe violates the letter or spirit of these Terms or for any other reason, without prior notice.
5.2 Prohibited Conduct
By using the Platform, you agree not to engage in any of the following prohibited activities (whether directly or indirectly, or on behalf of any other person or entity):
1. Unlawful Activities. Use the Platform for any purpose that is unlawful, illegal, harmful, or fraudulent, or to solicit the performance of any illegal activity.
2. Medical Misuse. Rely on the Platform as a replacement for professional medical advice, diagnosis, or treatment. Do not attempt to use AI-generated suggestions as definitive diagnoses; always involve a licensed healthcare provider.
3. Unauthorized Access. Attempt to gain unauthorized access to any portion of the Platform, other Users' accounts, or any systems or networks connected to or accessible through the Platform by hacking, password mining, or any other means.
4. Interference with Platform Integrity.
Interfere with or disrupt the operation of the Platform, servers, or networks.
Transmit any viruses, malware, or other harmful computer code.
Reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purposes any portion of the Platform without explicit written permission from Medecro.AI.
5. Data Scraping & Mining. Use robots, spiders, crawlers, or similar automated means to access or collect data from the Platform without our express prior written permission.
6. Impersonation. Impersonate any person or entity or misrepresent your affiliation with any person or entity, or provide false information about your identity.
7. Infringement. Infringe or misappropriate any third-party intellectual property, privacy, or publicity rights by uploading or sharing such protected content.
8. Harassment. Harass, threaten, embarrass, or cause distress or discomfort to any person via the Platform.
9. Fraudulent Behavior. Provide false or misleading information, post or transmit any spam, chain letters, or unsolicited promotional or commercial communications.
Violation of any of the above provisions may result in immediate termination of your Account, suspension of access to the Platform, or legal action.
6.1 Medical and Professional Disclaimers
1. No Medical Advice. Medecro.AI provides AI-powered tools to assist dental professionals in analyzing radiographs and facilitating teleconsultations. Medecro.AI is not a healthcare provider and does not practice medicine or dentistry.
2. Clinical Judgment. ALL clinical decisions, diagnoses, and treatments are the sole responsibility of qualified and licensed healthcare providers. The Platform's AI- generated "suggestions," "analyses," or "findings" are intended to assist a licensed professional and are not definitive or conclusive medical opinions. You agree that reliance on any AI output is at your own risk.
3. No Emergency Services. The Platform is not designed to handle emergency or life- threatening situations. In cases of medical emergency, immediately call local emergency services (e.g., dialing 112 in India) instead of relying on teleconsultation features.
4. Independent Verification. Practitioners must independently verify any AI-generated output before taking any clinical action. Medecro.AI does not guarantee accuracy, completeness, or reliability of AI analyses.
5. Non-Substitution for In-Person Care. Medecro.AI is not a substitute for in-person diagnostic imaging, laboratory tests, surgical procedures, or direct patient examination. It should only be used as an adjunctive tool.
6.2 General Disclaimers
1. "As Is" & "As Available." The Platform and all Content are provided on an "as is" and "as available" basis, without warranty of any kind, either express, implied, or statutory. Medecro.AI, its officers, directors, employees, agents, or licensors disclaim all warranties and conditions, including but not limited to:
Warranties of merchantability or fitness for a particular purpose;
Warranties of non-infringement;
Warranties arising out of course of performance, course of dealing, or trade usage.
2. No Guarantee of Uptime or Availability. While Medecro.AI aims to maintain continuous, uninterrupted access to the Platform, we cannot guarantee that the Platform will be available at all times or free of errors, bugs, or security vulnerabilities. We reserve the right to modify, suspend, or discontinue any aspect of the Platform without notice (see Section 16 for more on termination).
3. Accuracy of Information. We strive to ensure that all information on the Platform is accurate and up-to-date. However, we do not guarantee the accuracy, completeness, or reliability of any Content (including educational materials, AI outputs, or non-user- generated content).
4. Third-Party Services. The Platform may rely on third-party service providers (e.g., payment gateways, cloud hosting, analytics) to deliver certain features. We disclaim any warranty related to the performance, reliability, or security of such third-party services.
5. No Endorsement. Inclusion of any third-party link, product, service provider, or content displayed on the Platform does not constitute an endorsement or recommendation by Medecro.AI.
6.3 Limitation of Liability
1. Exclusion of Certain Damages. To the fullest extent permitted by applicable law, in no event shall Medecro.AI, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
Lost profits or revenue;
Loss of data or data breach;
Business interruption or loss of business opportunity;
Emotional distress or mental anguish;
Any other damages arising out of or related to your use of (or inability to use) the Platform, even if Medecro.AI has been advised of the possibility of such damages.
2. Aggregate Liability Cap. In any event, Medecro.AI's total aggregate liability arising from or relating to these Terms or your use of the Platform shall not exceed the total amount paid by you to Medecro.AI in the twelve (12) months immediately preceding the event giving rise to the liability; provided that the maximum aggregate liability is capped at Rs. 1,000 (Indian Rupees One Thousand).
3. Allocation of Risk. You acknowledge that the disclaimers and limitations set forth in this Section are an essential part of these Terms, and that Medecro.AI would not provide the Platform on an economically feasible basis without these limitations.
4. No Liability for User Content. Medecro.AI shall not be responsible or liable for any User Content posted or transmitted via the Platform, or for any loss or damage resulting therefrom. You are solely responsible for your own User Content and you assume all risks associated with its submission and storage.
7.1 Payment Gateway & Subscription
1. Subscription Model. Certain features of the Platform (e.g., premium AI analytics, advanced teleconsultation modules, custom reporting) are accessible only via a paid subscription ("Subscription"). Subscriptions are billed on an annual basis (the "Renewal Period").
2. Payment Processing. All payments are processed securely through third-party payment gateways (e.g., Stripe, Razorpay, PayU). By providing payment information, you represent and warrant that you are authorized to use the designated payment method. We do not store your full payment card information; all payment details are handled by our payment processors in accordance with industry security standards (e.g., PCI-DSS).
3. Recurring Billing & Automatic Renewal. Unless you cancel at least 15 days prior to the end of your current subscription term, your Subscription will automatically renew at the then-current annual rate, and your payment method on file will be charged accordingly. The Renewal Period's start date is the date your initial payment is processed.
4. Taxes & Fees. You are responsible for any taxes, levies, or duties imposed by applicable government authorities, including but not limited to Goods and Services Tax (GST) in India or any future VAT/GST applicable in USA/EU jurisdictions. Medecro.AI will collect taxes where required by law and add them to your invoice.
7.2 Cancellation & Termination of Subscription
1. User-Initiated Cancellation. To cancel your Subscription, log into your Account, navigate to "Billing Settings," and follow the prompts for cancellation. You must provide at least 15 days' advance notice before your next renewal date to avoid being billed for the next term.
2. Effect of Cancellation. Upon cancellation, you will retain access to paid features only until the end of your current billing cycle. After the cycle ends, your Account will revert to a free or limited tier, and you will lose access to premium features. We do not issue prorated refunds for mid-cycle cancellations (see Section 7.3 for Refund Policy).
3. Medecro.AI Initiated Termination. Medecro.AI reserves the right to suspend or terminate your Subscription and access to paid features if you:
Fail to pay any fees when due;
Violate these Terms; or
Engage in any fraudulent or abusive conduct.
We will provide notice of termination via email or in-App notification where feasible. No refunds will be issued for Subscriptions terminated by Medecro.AI for cause.
7.3 Refund Policy
1. Patient-Initiated Teleconsultation Cancellations.
If a Patient cancels a booked teleconsultation at least 24 hours before the scheduled time, a full refund of the consultation fee will be initiated.
Cancellation requests must be submitted via the Platform's cancellation feature or by emailing support@medecro.ai, specifying the appointment details.
2. Dentist-Initiated Teleconsultation Cancellations.
If a licensed dentist cancels a scheduled teleconsultation for any reason, the Patient is entitled to a full refund of the consultation fee, automatically processed to the original payment method.
3. Subscription Refunds.
All Subscription fees are non-refundable except as explicitly stated herein or as required by applicable law.
No refunds will be granted for Subscriptions that have commenced unless mandated by consumer protection regulations.
4. Exceptional Circumstances.
Refund requests outside of the above scenarios (e.g., technical failure, connectivity issues, and medical emergencies) will be reviewed on a case-by- case basis at Medecro.AI's sole discretion. Users must provide written documentation or evidence supporting the request.
If approved, refunds for exceptional circumstances will be processed within 7–10 business days to the original payment method.
5. Exclusions.
Medecro.AI does not offer refunds for any digital goods (e.g., e-books, digital courses) or consulting packages purchased outside of our standard Subscription or teleconsultation frameworks unless otherwise agreed in writing.
Any promotional or discounted Subscription (e.g., bundled offers, corporate discounts) is subject to the same non-refundable policy unless otherwise specified.
6. Dispute Resolution for Refunds.
Any disputes regarding a refund must be submitted in writing to support@medecro.ai within fifteen (15) days of the transaction date.
Medecro.AI will investigate and respond to such disputes within thirty (30) days. If you remain unsatisfied, you may escalate the dispute per Section 14 (Dispute Resolution).
1. Medecro.AI Ownership. Except for User Content, Medecro.AI and/or its licensors retain exclusive ownership of all right, title, and interest (including all intellectual property rights) in and to the Platform, its underlying software, interface designs, templates, algorithms, trademarks, logos, and all enhancements, modifications, and derivative works thereof.
2. Trademarks. "Medecro.AI," "Medecro Technologies," the Medecro.AI logo, and all related product and service names, designs, and slogans are trademarks of Medecro Technologies Pvt. Ltd. or its affiliates or licensors. You agree not to display or use these trademarks in any manner without Medecro.AI's prior written permission.
3. License Grant to Users. Subject to these Terms, Medecro.AI grants you a limited, non-exclusive, non-transferable, revocable license to:
Access and use the Platform solely for your personal or internal business purposes; and
View, download, and print Content from the Platform only as authorized by our features (e.g., downloading your own consultation records or radiograph analyses).
This license does not allow you to:
sublicense, rent, lease, lend, sell, redistribute, or sublicense the Platform or any part thereof;
reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
modify, adapt, translate, or create derivative works of the Platform or any part thereof;
remove, obscure, or alter any proprietary rights notices (e.g., copyright notices, trademark legends).
4. Feedback & Improvements. If you provide any suggestions, comments, or feedback about improvements to the Platform ("Feedback"), you hereby assign to Medecro.AI all rights, titles, and interests in and to the Feedback. Medecro.AI may use, incorporate, or modify the Feedback for any purpose without restriction or obligation to you.
5. Third-Party Intellectual Property. The Platform may include components, software, or third-party libraries that are subject to separate license terms. Your use of such components is governed by their respective licenses. We may provide notices or reference to these third-party licenses on the Platform's "Legal" or "About" page.
9.1 Data Retention
1. Scope of Data Collected.
Account Registration Data: Name, email address, phone number, age, and any professional credentials you supply.
Usage Data: Information about how you interact with the Platform (e.g., pages viewed, features used, dates and times of access).
Transactional Data: Billing records, payment confirmations, and subscription status.
User-Generated Content: Uploaded radiographs, medical history, consultation notes, or feedback.
2. Retention Period.
Unless otherwise specified by applicable law, Medecro.AI retains User Data for a period of five (5) years from the date of collection or the date of the last user activity, whichever is later.
Thereafter, User Data will be securely deleted or irreversibly anonymized, except where a longer retention period is required to comply with legal obligations (e.g., tax, audit, or medical records requirements) or to resolve disputes.
3. Backup & Disaster Recovery.
We maintain daily backups of critical data and store such backups in encrypted form in secure offsite facilities.
In the event of a system failure, data loss, or other catastrophe, we will endeavor to restore User Data from the most recent backup within forty-eight (48) hours, following our internal disaster recovery plan.
9.2 Privacy Policy & Personal Data
1. Privacy Policy.
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, disclose, and protect your personal information.
By using the Platform, you expressly consent to the collection and processing of your personal data as described in the Privacy Policy.
2. User Rights.
Depending on your jurisdiction and applicable law, you may have the right to access, rectify, port, restrict processing, or erase your personal data stored by Medecro.AI.
To exercise these rights, please contact us at privacy@medecro.ai. We will respond in accordance with applicable legal requirements.
3. Data Security.
We employ industry-standard security measures, including encryption (TLS/SSL) for in-transit data, encryption at rest for sensitive data, firewalls, intrusion detection systems, and regular security audits.
While we strive to protect your data, no security measure is 100% foolproof. You acknowledge and agree that we cannot guarantee absolute security, and you use the Platform at your own risk.
10.1 Analytics
1. Usage Analytics. We collect analytics data—such as the number of visits, pages viewed, clicks, feature utilization, and performance metrics—using third-party analytics tools (e.g., Google Analytics). This data helps us understand User behavior, troubleshoot issues, optimize features, and improve the user experience.
2. Aggregate & Anonymized Data. We may compile aggregate, anonymized statistics regarding User activity (e.g., average consultation times, common radiograph findings) to enhance the Platform's AI models, develop new features, publish industry insights, or for other legitimate business purposes. Such data will not identify any individual User.
10.2 Notifications, Updates & Communications
1. Service-Related Messages. By registering for an Account, you consent to receive service-related communications (e.g., appointment confirmations, reminders, billing confirmations, security notifications) via email, SMS, or in-App notifications. These communications are essential to your use of the Platform and cannot be opted out of.
2. Promotional Communications. You may choose to receive promotional materials, newsletters, or marketing emails about our products, services, or partner offerings. You may opt out of promotional emails at any time by following the "unsubscribe" instructions included in such emails.
3. Changes to Terms & Policies.
We will send you an email notification and/or display an in-App notification when significant changes are made to these Terms or the Privacy Policy.
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes.
1. No Current Third-Party Links. At present, the Platform does not provide links to or from third-party websites or services. If and when we integrate with third-party services in the future (e.g., electronic health record systems, additional payment gateways), such integration will be subject to the other party's terms and conditions.
2. Liability for Third-Party Content. Medecro.AI is not responsible for the content, accuracy, or practices of third-party websites or services you may access via the Platform. Any dealings with third-party sites, including payment and delivery of goods or services, are solely between you and the third party.
3. Third-Party API Usage. If we permit the use of third-party APIs (e.g., for enhanced analytics or scheduling), such use must comply with the applicable third-party API provider's terms. You agree not to misuse such APIs or engage in any activity that could result in the suspension or termination of our API privileges.
12.1 Limitation of Liability
1. Indirect & Consequential Damages Excluded. To the fullest extent permitted by law, Medecro.AI and its affiliates, officers, directors, employees, agents, or licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. This includes, but is not limited to:
Lost profits or revenues;
Loss of business, goodwill, or data;
Personal injury or emotional distress;
Business interruption or lost opportunity;
Any other damages arising out of or in connection with:
2. Aggregate Liability Cap. Notwithstanding anything to the contrary, to the maximum extent permitted by applicable law, Medecro.AI's aggregate liability arising from or relating to these Terms or your use of the Platform shall not exceed the total amount paid by you to Medecro.AI in the twelve (12) months prior to the event giving rise to the claim, provided that such liability shall in no event exceed INR 1,000 (Indian Rupees One Thousand).
3. Acknowledgment of Allocation of Risk. You acknowledge that the disclaimers and limitations contained in these Terms are an essential basis of the bargain between you and Medecro.AI, and that Medecro.AI would not provide the Platform without such limitations.
12.2 Indemnification
You agree to defend, indemnify, and hold harmless Medecro.AI, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
1. Your breach or alleged breach of these Terms;
2. Any User Content you submit, post, transmit, or make available through the Platform;
3. Your violation of any applicable laws, regulations, or third-party rights (including intellectual property, privacy, or publicity rights);
4. Your use of the Platform in violation of these Terms; or
5. Any negligent or wrongful conduct by you in connection with the Platform.
Medecro.AI reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Medecro.AI's defense of such claims. You will not settle any claim without Medecro.AI's prior written consent.
1. Governing Law. These Terms and any disputes arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
2. Informal Negotiation. Prior to initiating formal legal proceedings, you and Medecro.AI agree to attempt to resolve any dispute arising under or relating to these Terms through informal negotiations. You should send a written notice to Medecro.AI's registered address or email (contact@medecro.ai), providing (a) a detailed description of the dispute; (b) all relevant facts; and (c) your requested remedy. Medecro.AI will respond within thirty (30) days.
3. Exclusive Jurisdiction. If informal negotiations fail to resolve the dispute within thirty (30) days after your initial notice, any unresolved controversy or claim shall be subject to the exclusive jurisdiction of the state or federal courts located in Noida, Uttar Pradesh, India. Both you and Medecro.AI consent to the personal jurisdiction and venue of such courts.
4. Waiver of Jury Trial. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND Medecro.AI EACH WAIVE ANY RIGHT TO A JURY TRIAL IN RESPECT OF ANY LITIGATION ARISING OUT OF OR RELATING TO THESE TERMS.
1. Right to Modify. Medecro.AI reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time by posting the updated Terms on the Platform or providing you with notice via email or in-App notification.
2. Notice of Changes. We will indicate the "Last Updated" date at the top of these Terms. In the event of material changes (e.g., changes affecting your rights or obligations), we will make reasonable efforts to highlight those changes and notify you via email or an in-App banner.
3. Acceptance of Revised Terms. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of such changes. If you do not agree to the updated Terms, you must cease using the Platform and terminate your Account in accordance with Section 16.
1. Termination by You. You may terminate your Account at any time by:
Logging into your Account, going to "Settings," selecting "Close Account," and following the prompts; or
Emailing us at support@medecro.ai to request Account deletion.
Termination does not relieve you of any obligations (e.g., outstanding payments, indemnification) accrued prior to termination. After termination, you will lose access to all features of the Platform except as may be required by applicable data retention laws (see Section 9).
2. Termination by Medecro.AI. We may suspend or terminate your Account and access to the Platform, at our sole discretion and without prior notice or liability, if you:
Violate or breach these Terms;
Engage in fraudulent, abusive, or illegal activity;
Impersonate any person or entity or provide false information;
Disrupt the security or performance of the Platform; or
If we discontinue or substantially modify the Platform or any part thereof.
We will use reasonable efforts to provide you with notification of termination by sending an email to the address associated with your Account or an in-App notification.
3. Effect of Termination. Upon termination:
All licenses and rights granted to you under these Terms will immediately cease.
You must cease all use of the Platform.
We may delete or deactivate your Account and all related User Data (subject to our Data Retention policy).
Sections 5 (User Content), 6 (Disclaimers & Limitations), 8 (Intellectual Property), 9 (Data Retention & Privacy), 12 (Limitation of Liability & Indemnification), 13 (Dispute Resolution), and 18 (Miscellaneous) will survive and continue in full force and effect.
1. Platform Availability & Uptime.
Objective: Maintain at least 99% uptime per calendar month, excluding scheduled maintenance or force majeure events.
Scheduled Maintenance: We may perform maintenance, upgrades, or security patches, during which the Platform may be temporarily unavailable. We strive to provide advance notice via email or in-App notification at least 48 hours before scheduled downtime.
2. Support Services.
For technical support, bug reports, or general inquiries, Users may contact support@medecro.ai or use the "Help & Support" section within the Platform.
Support Response Time: We aim to respond to critical issues (e.g., inability to book teleconsultations, platform-wide outages) within four (4) business hours, and to non-critical issues within forty-eight (48) business hours.
3. Data Backup & Recovery.
We perform daily backups of all user-submitted data (radiographs, chat transcripts, etc.) and store backups in encrypted offsite storage.
In the event of data loss due to system failure, our target restoration time is within forty-eight (48) hours following our Disaster Recovery Plan.
4. Performance Metrics.
Average page load time should not exceed five (5) seconds under normal usage conditions.
AI Radiograph Analysis Turnaround: Provide preliminary AI-based analysis results within sixty (60) seconds of image submission under normal system load.
Teleconsultation Connection Success Rate: Maintain a minimum 95% successful connection rate for scheduled teleconsultations.
1. Entire Agreement.
These Terms, together with our Privacy Policy and any additional policies or guidelines posted on the Platform, constitute the entire agreement between you and Medecro.AI concerning your use of the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
2. Severability.
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
3. Waiver.
No failure or delay by Medecro.AI in exercising any right or remedy under these Terms will operate as a waiver of that right or remedy. A waiver must be in writing and signed by an authorized representative of Medecro.AI.
4. Assignment.
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Medecro.AI's prior written consent. Medecro.AI may assign or transfer these Terms (in whole or in part) without restriction.
5. Notices.
All notices or other communications required or permitted under these Terms shall be in writing and addressed to:

Notices to Medecro.AI are deemed given (a) when delivered by hand (with written confirmation of receipt), (b) three (3) business days after deposit in the mail, certified or registered, return receipt requested, (c) the next business day after sending by a nationally recognized overnight courier, or (d) upon sending by email (with confirmation of transmission).
Notices to you will be sent to the email address associated with your Account and are deemed given twenty-four (24) hours after the email is sent, unless Medecro.AI is notified of a failure to deliver.
6. Force Majeure.
Neither party shall be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by events beyond that party's reasonable control, including, but not limited to, acts of God, war, terrorism, riots, acts of civil or military authorities, fire, flood, earthquakes, pandemics, strikes or shortages of transportation facilities, fuel, energy, labor, or materials. The affected party must notify the other party of the occurrence of a force majeure event and use reasonable efforts to resume performance as soon as practicable.
7. Compliance with Laws.
You agree to comply with all applicable local, state, national, and international laws, statutes, ordinances, and regulations pertaining to your use of the Platform. This includes but is not limited to data protection regulations (e.g., India's Data Protection Bill, HIPAA, GDPR once we operate in the USA/EU), consumer protection laws, privacy laws, and telemedicine regulations.
8. Export Controls.
The Platform may be subject to Indian export control laws and international export control laws. You agree not to export, re-export, or transfer, directly or indirectly, any part of the Platform (including any software, technology, or technical data) in violation of applicable export laws and regulations.
9. Survival.
Sections 5 (User Content & Responsibilities), 6 (Disclaimers & Limitations), 8 (Intellectual Property), 9 (Data Retention & Privacy), 12 (Limitation of Liability & Indemnification), 13 (Dispute Resolution), 15 (Termination), and 17 (Miscellaneous) shall survive any expiration or termination of these Terms.
BY CREATING AN ACCOUNT OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS OF SERVICE. IF YOU DO NOT AGREE WITH ANY PROVISION OF THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM.
